Terms of Service and Sale

This document describes the conditions under which Monarch OS makes its service available to business customers. It accurately reflects how the product actually works as of the date above. It will be reviewed and completed by a qualified lawyer before any large-scale commercial launch — see the note at the bottom of the page.
1. Purpose
These Terms of Service and Sale ("Terms") govern access to and use of the Monarch OS service ("the Service") by any business customer ("the Customer") that has created an account.
Creating an account and subscribing to a plan implies full acceptance of these Terms, as well as the Privacy Policy. Anyone creating an account on behalf of a business represents that they have the authority to bind that business to these Terms.
2. Description of the service
Monarch OS provides the Customer with AI employees (autonomous software assistants — currently Adam for customer communication, Sophia for sales, Noah for operations, and Julia for oversight) that carry out tasks defined by the Customer according to the permissions the Customer configures.
If explicitly configured by the Customer, certain AI employees may connect to third-party tools the business already uses (for example Gmail or WhatsApp Business) to read and send messages on the Customer's behalf, strictly within the permissions granted. The Customer alone decides the level of autonomy granted to each type of action (see "AI employee autonomy" below).
The Service is provided in hosted (SaaS) mode; no local installation is required.
3. Access to the service and account creation
Access to the Service requires creating an account, associated with a single customer organization. Each customer organization's data is strictly isolated from every other customer organization's data — no information is ever shared between two customer businesses.
The Customer agrees to provide accurate information when signing up and to keep it up to date. The account password is encrypted from the moment it is created and is never accessible to Monarch OS in plain text.
The Customer is responsible for the confidentiality of its login credentials and for any action taken from its account.
4. Subscription, free trial and billing
The Service is offered as a monthly subscription, at the tiers described on the pricing page at the time of signup. A 14-day free trial is offered on first signup: a payment card is requested to activate the trial, but no charge occurs before it ends. The Customer may cancel at any time before the trial ends without being charged.
Payments are processed by Stripe, a third-party payment provider; Monarch OS never stores the Customer's card details.
Each subscription tier includes a monthly allowance of "Monarch Credits", consumed by AI employees as they actually work. If the main balance runs out, a limited safety reserve prevents an abrupt interruption; beyond that, AI employees hand off situations to a human rather than stopping without explanation.
The Customer may change tier at any time. An upgrade takes effect immediately; a downgrade takes effect at the end of the current billing period.
5. Use of the service — Customer obligations
The Customer agrees to use the Service in accordance with applicable law and not to use it for fraudulent or deceptive purposes, or in a way that infringes the rights of third parties.
The Customer remains solely responsible for the content and accuracy of the information it provides to its AI employees (knowledge base, pricing, internal procedures, communication rules) — AI employees act on this information and cannot guarantee its accuracy if it is wrong or incomplete.
The Customer is responsible for its use of any connectors it activates (Gmail, WhatsApp Business, etc.) and warrants that it holds the necessary rights to authorize Monarch OS to act on its behalf on those channels. It agrees to comply with the terms of use of each connected third-party tool (in particular Meta's WhatsApp Business Platform rules and Google's API terms of use), as well as applicable regulations on commercial outreach and communication (prior recipient consent, right to opt out, anti-spam rules).
The Customer shall not use the Service to send unsolicited communications in violation of applicable regulations, to unlawfully harvest data, to circumvent the Service's security limits, or for any activity that harms the proper functioning of the Service or of any third-party systems it is connected to.
6. AI employee autonomy and Customer responsibility
Every action an AI employee can take is tied to an autonomy level configurable by the Customer: fully automatic, subject to human approval before execution, or fully disabled. This setting belongs exclusively to the Customer, who may change it at any time.
An action executed automatically by an AI employee is only ever executed because the Customer explicitly authorized that level of autonomy. Monarch OS keeps a complete record of every action proposed, approved, rejected, or executed, viewable by the Customer at any time from its dashboard.
AI employees rely on artificial intelligence models which, like any technology of this kind, can produce imprecise, incomplete, or incorrect responses. The Customer acknowledges this inherent technical limitation and remains responsible for configuring an autonomy level suited to the sensitivity of each type of action, in particular by requiring prior human approval for any action whose consequences warrant it.
When the Customer chooses to grant a fully automatic autonomy level to a type of action, it assumes responsibility for the consequences of that choice, including for content actually sent by the AI employee under that setting, since Monarch OS performs no intermediate human review in that case.
7. Intellectual property
Monarch OS and all of its software components remain the exclusive property of its publisher. Nothing in these Terms grants the Customer any ownership right over the Service itself.
The Customer is granted a limited, non-exclusive, non-assignable, and non-transferable right to use the Service, solely for its own internal needs and for the duration of its subscription. This right does not extend to any part of the Service's source code, models, methods, or architecture.
The Customer shall not reverse-engineer, decompile, or attempt to extract the source code of the Service, nor use the Service in any way to design, train, or improve a competing product or service.
Any suggestion, feedback, or improvement idea voluntarily submitted by the Customer to Monarch OS may be freely used by Monarch OS to improve the Service, without compensation or attribution obligation.
The Customer retains full ownership of the data it provides to the Service (knowledge base, prospects, tasks, conversations, content imported through its connectors). This data can be returned to the Customer on request, in a usable format, including after termination.
8. Availability, maintenance and support
Monarch OS uses reasonable efforts to ensure continuous availability of the Service, without guaranteeing absolute availability. Occasional maintenance interruptions may occur, with advance notice where possible.
An incident affecting an external connector (for example a Gmail or WhatsApp outage) is outside Monarch OS's control; the rest of the Service continues to function normally in that case.
9. Suspension of the Service
Monarch OS may temporarily suspend the Customer's access to the Service, in whole or in part, in particular in the event of unresolved non-payment after notice, use manifestly contrary to these Terms or to applicable law, a demonstrated risk to the security of the Service or of other Customers, or where a third-party connector provider (for example Meta or Google) restricts or revokes the access required for that connector to function.
Except in an emergency or where required by law, Monarch OS notifies the Customer before any suspension and invites it to remedy the situation within a reasonable period. Suspension is lifted as soon as its cause has ceased.
10. Force majeure
Neither party shall be held liable to the other for a failure to perform its obligations resulting from an event of force majeure, as defined by applicable law and case law, including in particular: natural disaster, general failure or unavailability of Internet or hosting infrastructure, large-scale cyberattack, a decision by a public authority, or the prolonged unavailability of a third-party provider essential to the Service (hosting, payments, connectors, AI model providers).
The party affected by an event of force majeure shall notify the other party as soon as reasonably possible. If the event continues for more than thirty consecutive days, either party may terminate the current subscription without penalty or compensation.
11. Liability and warranties
The Service is provided "as is" and "as available". Monarch OS commits to reasonable care regarding the quality and security of the Service, without guaranteeing the total absence of errors or interruptions, nor that the Service is fit for any particular purpose of the Customer beyond what is described in these Terms.
Monarch OS cannot be held liable for the consequences of an action executed by an AI employee at the autonomy level explicitly configured by the Customer, nor for the consequences of inaccurate or incomplete information provided by the Customer to its AI employees.
To the extent permitted by applicable law, Monarch OS shall not be liable for any indirect damages, such as loss of revenue, loss of customers, loss of data resulting from use of the Service that does not comply with these Terms, or loss of opportunity, regardless of which party raises the claim.
Monarch OS's liability, if engaged, is in any event limited to the amounts actually paid by the Customer for its subscription over the preceding twelve months. These limitations do not apply in the event of gross or willful misconduct by Monarch OS, nor where applicable law prohibits such a limitation.
12. Indemnification
The Customer shall indemnify Monarch OS against any third-party claim, action, or judgment resulting from the Customer's breach of these Terms, use of the Service in violation of applicable law, or infringement of a third party's rights caused by content or instructions the Customer provided to its AI employees.
13. Termination
The Customer may cancel its subscription at any time from its dashboard, without justification. Cancellation takes effect at the end of the current billing period; no pro-rata refund is issued for the period already underway.
Monarch OS may terminate a Customer's subscription in the event of a serious or repeated breach of these Terms not remedied within a reasonable period after notice, or in the event of a prolonged suspension under Section 9 whose cause has not been resolved.
After termination, the Customer's data is retained for a reasonable period allowing for possible reactivation, then deleted, unless a longer retention period is legally required.
14. Changes to these Terms
Monarch OS may update these Terms to reflect changes to the Service or to applicable legal requirements. Any substantial change results in a new, timestamped version, and the Customer is notified; continued use of the Service after notice constitutes acceptance of the new version, without ever erasing the record of acceptance of an earlier version.
15. Governing law
The governing law and competent jurisdiction under these Terms will be specified before any large-scale commercial launch, based on the countries actually served by Monarch OS.
